In today’s fast-paced business environment, companies frequently undergo significant structural transformations that are far more complex than simple day-to-day operations. These changes—including M&A, Divestitures, Dissolutions, and even small or large-scale Moves—present unique and often daunting challenges for IT departments. A successful outcome for any of these events hinges on meticulous planning, seamless execution, and a deep understanding of how to manage technology infrastructure during periods of immense change.

IT Services for M&A

The goal is to successfully integrate two distinct IT infrastructures. This is a multi-step process:

  • Gaining Control and Visibility: The first step is to understand the acquired network. This involves assessing all assets, services, and cloud providers to establish visibility and identify any security gaps. A robust solution from Cloudience can act as a temporary “bridge” to connect the networks without fully merging them, allowing you to maintain stability and gain control over the new environment.

  • Transition to a Unified Network: Once you have a clear picture, the full integration can begin. Key steps include aligning identity providers to enable single sign-on (SSO), gradually migrating cloud and on-premise resources, and implementing a robust Zero Trust security framework to protect the new, larger network.

Divestitures

This process is the reverse of M&A—it’s about carefully “carving out” and separating a company’s IT assets. The main objective is to sever the IT connection of the divested unit without disrupting the parent company’s operations. This requires meticulous planning to:

  • Separate Systems: Identify which applications, data, and hardware belong to the divested unit. This often means cloning systems and migrating data.

  • Establish a Clean Break: Ensure that all network connections, user accounts, and data access for the divested entity are securely cut off on a planned date.

  • Maintain Data Integrity: A crucial and often complex task is ensuring that all data—especially financial and customer records—is correctly transferred to the new owner, while retaining only what the parent company legally needs.

Dissolutions

This final stage involves the complete and secure shutdown of all IT systems. Unlike an M&A or divestiture, there’s no handover; the focus is on a final, responsible wind-down. Key IT tasks include:

  • Data Archiving and Deletion: Identify all critical data, retain what’s legally required for a set period, and securely delete all other data from servers, cloud services, and employee devices.

  • System Decommissioning: Methodically shut down and dispose of all hardware, including servers, computers, and networking equipment, in an environmentally friendly manner.

  • Access Revocation: Ensure all employee and third-party access to company systems is permanently revoked to protect against future security risks.

Moves

A major move is a large-scale project that requires precise coordination to ensure business continuity. The main objective is to transport and re-establish the entire IT infrastructure with minimal downtime. Key IT tasks include:

  • Pre-Move Planning: This involves a comprehensive audit of all IT assets, creating a detailed inventory, and designing the new network and physical layout for the new location.

  • Logistics and Transport: Physically relocating hardware—from servers to desktop computers—requires careful handling, packaging, and a strict timeline to prevent damage and minimize disruption.

  • Setup and Testing: Once the equipment is in the new location, it must be reassembled, connected to new power and networking, and thoroughly tested to ensure all systems are fully operational before employees arrive.
